Privacy Policy

Effective January 1, 2024.

Resupply, Inc. (“Resupply”, “we”, “us”, “our”), respect your concerns about privacy and provide this Privacy Policy (this “Privacy Policy”) explaining how we collect, use and disclose personally identifiable information when customers inquire about, use or purchase services, and when donors, drivers, and charities about or move persona property for or do business with Resupply. This Privacy Policy is not a contract and does not create any contractual rights or obligations.

This Privacy Policy applies to personally identifiable information (“Personal Information”) collected from donors, charities, and drivers, including, without limitation, information collected through the Services. “Personal Information” is information that identifies you as an individual or relates to an identifiable individual. As used hereinafter, the term “Services” includes those websites, platforms, and mobile applications from which you are accessing this Privacy Policy which are owned and/or operated on behalf of Resupply, including but not limited to the Resupply Driver App V2 mobile app, and the web pages associated with https://resupplyapp.com/ and the Resupply web portal. The terms “you” and “your” shall include and/or reference the individual user of the Services and, when applicable, the business entity for which the individual user of the Services serves as an agent, independent contractor or employee thereof.

The Policy does not apply to Resupply employees or job applicants.
This Privacy Policy does not address, and we are not responsible for, the privacy, Personal Information or other practices of any third parties, including any third party operating any website or service to which the Services link. The inclusion of a link on the Services does not imply endorsement of the linked site or service by us.

In addition, we are not responsible for the information collection, use, disclosure or security policies or practices of other organizations, such as Facebook, LinkedIn, Apple, Google, Microsoft, Blackberry or any other app developer, app provider, social media platform provider, operating system provider, wireless service provider or device manufacturer, including with respect to any Personal Information you disclose to other organizations through or in connection with our apps.

By accessing or otherwise using the Services, you acknowledge that you have read and understand this Privacy Policy and that Personal Information you provide may be processed and used in accordance with the terms of this Privacy Policy.

1. THE INFORMATION RESUPPLY COLLECTS

We may collect Personal Information and other data when you utilize our Services or otherwise communicate with us. During the prior 12 months, we may have collected the following categories of Personal Information and other data from you:

a.     Personal Information about Donors. In the course of inquiring about or using Resupply’s Services, including registering on or using our websites (or downloading or using our mobile apps), you may be asked for, among other things, the following Personal Information: your name, e-mail address, postal address, telephone number, business contact information, communication preferences and other registration information. Resupply may also request payment information that, in some cases, may constitute Personal Information.

 

b.     Personal Information about Drivers. In the course of inquiring about or moving personal property, or registering on or using our Services, including registering on or using our websites (or downloading or using our mobile apps), you may be asked for, among other things, the following Personal Information: your name, e-mail address, postal address, telephone number, business contact information, docket information, vehicle registration, truck/equipment type, other registration information, driver’s license information, social security number, driver history, passport information, insurance information, and service profile information. Drivers may use our mobile app to submit images of paperwork, personal property, or damages; this information may, in some cases, constitute Personal Information.

 

c.     Geolocation Data. Drivers provide status updates (including location) about Resupply loads they are moving. Such status updates may be provided to Resupply (in various ways as further described Section 3 below).

 

d.     Personal Information about Personnel of Charites. Personnel of charity facilities used in connection with Resupply’s Services may be asked for the following Personal Information when they register on our Services: name, e-mail address, postal address, telephone number, business contact information, and other registration information.

 

e.     Technical Information. Resupply may also collect certain technical information when you visit or use our Services, including device information (such as the type of browser you are using, the type of operating system you are using, and regional and language settings), your Internet Protocol (IP) address and the domain name of your Internet service provider, aggregate data about the number of visits to a site or service, and/ or aggregate data about the pages visited. Where IP addresses or other technical information are deemed Personal Information under local law, Resupply will treat this information as Personal Information. We may combine information we receive online with other information you have provided to us and with information from other sources to improve our knowledge of you, to help us provide quality service and to provide and customize our products and services. Where we combine non-personally identifiable online information with Personal Information, we will treat the combined information as Personal Information.

We need to collect Personal Information in order to provide the requested Services to you. If you do not provide the information requested, we may not be able to provide the Services. If you disclose any Personal Information relating to other people to us or to our service providers in connection with the Services, you represent that you have the authority to do so and to permit us to use the information in accordance with this Privacy Policy.

2. HOW RESUPPLY USES PERSONAL INFORMATION

We and our service providers use Personal Information for legitimate business purposes, including: (i) provide the functionality of the Services; (ii) provide the Services; (iii) coordinate with donors, charities and drivers on the dispatch and delivery of personal property; (iv) tender personal property of donors to charities by drivers; (v) accept requests to arrange transportation of personal property from donors by drivers; (vi) track, text (SMS) message, call, and provide updates on or relating to the status and location of loads; (vii) create and manage accounts (including online accounts); (viii)  perform auditing, invoicing, and reconciliation activities; (ix) provide support to donors, carriers, and drivers; (x) respond to inquiries, requests, questions and comments; (xi) communicate by email, mobile text (SMS) messaging, push notification, telephone call or other means; (xii) assist in the development of new services, website and apps and/or the improvement of our existing services, websites and apps; (xiii) protect the security or integrity of our services, and/or to enforce the terms governing their use; (xiv) detect and protect against safety threats or destruction of property, including threats to our IT systems and other assets; (xv) detect and protect against fraud, criminal activity and other legal liabilities; (xvi) evaluate and improve our business operations and business intelligence, including our ability to address customer needs; (xvii) analyze for business reporting; (xviii) provide personalized services; and (xix) ease use of our services, websites and apps by eliminating the need to re-enter information.

We engage in activities to manage our relationship with you, such as: (i) provide you with marketing materials at your request; (ii) process and collect payments and to make payments; and (iii) offer products or services that may be of interest at your request.

We engage in certain activities with your consent (where required by applicable law), including: (i) display website content customized to customer interests and preferences; and (ii) obtain feedback and to support and enhance our sales, marketing and advertising efforts.

We also use Personal Information to comply with applicable law and our policies, and to cooperate with government officials or parties in litigation under process of law or regulation, or as otherwise required or permitted by law.

We may aggregate and/or anonymize Personal Information so that it will no longer be considered Personal Information. We do so to generate other data for our use, which we may use and disclose for any purpose, including, without limitation, to generate reporting and to improve the design and content of our products, services, websites and apps, and Resupply may share this data with third-parties.

3. THE COLLECTION AND USE OF LOCATION DATA

Resupply tracks the location of its drivers to help ensure a smooth delivery. Resupply makes available different ways for drivers to choose to provide location updates on the Resupply deliveries they are moving, including: (i) by telephone calls or text messages, or website entries; or (ii) through the use of the Resupply Driver App V2 – Drivers who download the Resupply Driver App V2 may agree to allow Resupply to track loads they are carrying. To agree, the driver must enable location services for the app in their phone’s system preferences. If a driver opts into the collection of location data, the app will provide Resupply regular updates on the driver’s location from the time the driver is dispatched to pick up the load to delivery confirmation. The load must be marked as delivered in Resupply’s systems to stop the continued collection of location data. The driver must mark the load as delivered in the app. If the load is not marked as delivered in Resupply’s systems, the app will continue to track location up to 24 hours after the scheduled delivery date. The driver may opt out of the collection of location data at any time through their phone’s systems preferences by disabling the app from accessing their phone’s location data. addition, as noted above, to stop the collection of a particular load’s location, the load must be marked as delivered in Resupply’s systems.

4. DISCLOSURE OF PERSONAL INFORMATION

Resupply may disclose Personal Information of donors and charities to drivers to the extent necessary to coordinate, execute and monitor donations, to provide services you have requested or authorized, and for other legitimate business purposes consistent with this Privacy Policy. Resupply may also disclose Personal Information of drivers to donors and charities for such purposes.

We may also disclose Personal Information to our service providers to perform tasks on our behalf for business purposes consistent with this Privacy Policy. These can include providers of services such as website hosting, data analysis, payment processing, order fulfillment, information technology and related infrastructure provision, customer service, email delivery, auditing, and other services.

By using the Services, you may also elect to disclose Personal Information.

In addition, when push notifications are sent to your mobile device, your Personal Information is disclosed to the provider of the push notification service (Apple Push Notification for iOS devices and Google Cloud Messaging for Android devices). The privacy policy of the relevant service provider applies to the use and disclosure of your Personal Information by these services.

We may also disclose Personal Information, as necessary or appropriate, to comply with applicable law or regulations, including laws outside your country of residence; to cooperate with public and government authorities including law enforcement; to establish, exercise or defend a legal claim; or, as otherwise permitted or required by law. In addition, Resupply may disclose or transfer Personal Information to a third party in connection with any reorganization, joint venture, assignment or other disposition of all or any part of our business, assets, or stock, or if Resupply or a Resupply affiliate is acquired in whole or in part by or merged with another company. Such third parties may include, for example, an acquiring entity and its advisors.

5. ACCESS AND CHOICES

You may review and edit online contact details and certain other Personal Information you have provided when using our Services. We encourage you to make sure your contact details and other Personal Information are up-to-date.

Communication Preferences. Resupply may send you communications by email, mobile text (SMS) messaging, telephone calls, or push notification. You may opt out of such communications as described below. We will try to comply with your request(s) as soon as reasonably practicable. Please note that if you use certain Resupply services, you may not opt out of mandatory service or administrative communications that are part of certain Resupply services and are necessary for the performance of such services. For customer care assistance with communications preferences, e-mail us at [email protected].

Promotional Emails. Resupply may send emails to customers (including their employees) that promote the same kinds of products and services Resupply is presently providing them, or similar kinds of Resupply products and services that may be of interest to them. You may opt out from receiving further promotional emails by following the instructions included in these emails.

SMS Text Messaging. Certain Resupply Services utilize SMS text messaging. For example, we may use text messaging for general service notifications or for mobile phone tracking services. Before you receive any text messages from Resupply, you will be notified about our use of text messaging and asked for your consent. When you use these services you may be subject to messaging and data charges from your wireless carrier, depending on your wireless data plan and rates. Please note that carriers are not liable for delayed or undelivered messages. To cancel receipt of text messages from Resupply, you may reply STOP or HIDE to any message received from Resupply.

Push Notifications. Drivers using the Resupply Driver App V2 may receive messages from Resupply by push notifications delivered within the app. In order for app users to receive such notifications, push notification service must be enabled for the app concerned via the mobile phone’s system preferences. By enabling push notification service for the app, you consent to receive push notifications delivered within the app. App users may opt out at any time by disabling the app from sending such notifications via the mobile phone’s system preferences and/or by setting up and managing preferences within the app to receive push notifications.

You may incur data charges from your wireless carrier for push notifications, depending on your wireless data plan and rates.

6. DATA SECURITY

We use commercially reasonable technical and organizational measures to help secure Personal Information against loss, misuse, and alteration appropriate to the type of Personal Information processed. If a breach of your Personal Information occurs, we will notify you of the breach if required under applicable law.

You understand that no data transmission over the internet can be guaranteed to be 100% secure. While we strive to protect Personal Information, we do not guarantee the security of Personal Information and you provide Personal Information at your own risk.

7. STORAGE AND RETENTION

Your Personal Information will not be stored for longer than is necessary for the purposes described in this Privacy Policy, or to otherwise meet applicable legal requirements. Our retention policies reflect local statute of limitation periods and national statutory obligations of Resupply.

The criteria used to determine our retention periods include:

  1. the length of time we have an ongoing relationship with you and provide the Services to you (for example, for as long as you have an account with us or keep using the Services);

 

  1. whether there is a legal obligation to which we are subject (for example, certain laws require us to keep records of your transactions for a certain period of time before we can delete them); or
  2. whether retention is advisable in light of our legal position (such as in regard to applicable statutes of limitations, litigation or regulatory investigations).

8. IP ADDRESSES, COOKIES, AND OTHER INFORMATION

Like other websites, our websites uses your domain, IP address, device and browser information to help diagnose problems with Resupply’s products and services and equipment, to administer the products and services, and for security purposes. Our websites also use “Cookies,” which are pieces of data sent from a Web server to a Web browser that enable a Web server to identify users that visit a site hosted by that server. Resupply and our service providers may use Cookies in order to identify you to our websites so that Resupply can provide more customized information and services to you. In general, if you choose, you can disable the use of Cookies by reviewing your browser’s preferences and options.

The Cookies on our websites may collect information such as: (i) IP addresses assigned to the computers and other devices you use, (ii) your internet service provider, (iii) device ID number, (iv) approximate geographic location (e.g., zip code), (v) browser type, (vi) webpages visited, (vii) website you access before and after visiting the webpages; and (viii) data related to how and when you use the webpages.

We may combine information from Cookies with other Personal Information we collect from you.

A Cookie can either be a “session” Cookie or a “persistent” Cookie. Session Cookies exist only for so long as you are visiting the applicable webpage and are typically deleted when you exit your web browser. Persistent Cookies exist for a set period of time, for example, up to several months or years. Each time you visit our webpages that have implemented a persistent Cookie, the persistent Cookie is renewed and that Cookie will remain active until its predetermined expiration date. You can manually delete persistent Cookies through your browser settings.

Cookies may either be “first-party” or “third-party” Cookies. A first-party Cookie allows your web browser to talk to the actual webpages that you are visiting (i.e. the webpages). A third-party Cookie allows your web browser to talk to a third-party website, such as the source of an ad that appears on the website you are visiting or a third-party analytics provider. We may not have control over how a third-party uses information collected through third-party Cookies.

Most browsers automatically accept cookies. You can disable this function by changing your browser settings, but disabling cookies may impact your use and enjoyment of the webpages. Not all features or functions of the webpages may work properly if you disable Cookies. You cannot disable all Cookies, such as Cookies that are essential to the functioning of the webpages.

9. DATA TRANSFERS

We store all your Personal Information in the United States and will not transfer your Personal Information overseas.

10. SENSITIVE INFORMATION

Unless we request it, we ask that you not send us, and you not disclose, any sensitive Personal Information (e.g., social security numbers, information related to racial or ethnic origin, political opinions, religion or other beliefs, health, biometrics or genetic characteristics, criminal background or trade union membership) on or through the Services or otherwise to us.

11. USE OF SERVICES BY MINORS

The Services are not directed to individuals under the age of thirteen (13), and we do not knowingly collect Personal Information from individuals under 13. If you believe anyone under age 13 has provided personal information to us, please contact us as indicated in Section 13 of this Privacy Policy and we will work to delete it.

12. MODIFICATION OF PRIVACY POLICY

Resupply may update or change this Privacy Policy at any time without prior notice to you to reflect changes in our personal information practices. We will notify you in an appropriate manner, including by posting the changed or amended Privacy Policy on our website and we will indicate at the top of this Policy when it was most recently changed or amended.

ADDENDUM: CALIFORNIA PRIVACY RIGHTS

This Addendum of our Policy provides additional terms that apply to residents of California. In the event of a conflict between this Addendum and the Privacy Policy, this Addendum shall take precedence for California residents. Any terms not defined this Addendum shall have the meanings set forth in the California Privacy Rights Act (“CPRA”), as amended.

A. CATEGORIES OF PERSONAL INFORMATION COLLECTED.

Resupply collects the following categories of Personal Information. See Section 1 of the Privacy Policy for more detail on the type of Personal Information in each category.

C. YOUR RIGHTS TO ACCESS, CORRECT, AND DELETE. 

California law provides certain rights to California residents with regard to their Personal Information. Subject to exceptions permitted by applicable laws and verification of your identity, if you live in California, you may exercise the following rights with regard to your Personal Information.

Right to Know.  You have a right to request that we disclose Personal Information that we have collected about you in the prior 12-month period:

·       The categories of personal Information we collected from you;

·       The categories of sources from which the personal Information was collected;

·       The specific pieces of Personal Information that we have collected from you (i.e. “data portability”);

·       The categories of third parties with whom we shared your Personal Information;

·       The categories of Personal Information that we “sold” or disclosed for a business purpose; and

·       The business or commercial purpose for collecting or selling your Personal Information.

Right to Delete.  You have a right to request that we delete Personal Information we collected from you. We will comply with such request, and direct our service providers to do the same, subject to certain exceptions permitted by applicable law. In addition, we will retain a copy of your request and our response as required by applicable law.

Right to Correct. You have a right to request that we correct Personal Information we collected from you. We will comply with such request, and direct our service providers to do the same, subject to certain exceptions permitted by applicable law.

D. EXERCISING YOUR RIGHTS.

Verifiable Consumer Request. In order to verify your request, you must provide sufficient information to allow us to reasonably verify you are the person about whom we collected Personal Information. You must describe your request with sufficient detail to allow us to properly understand, evaluate, and respond to your request.

How We Will Respond to a Request to Know or a Request to Delete. When we receive your request to exercise your rights, we will:

  • acknowledge receipt of your request within ten (10) business days of receipt with a description of how we will process your request;
  • we will try to match the information you provide in making the request with information we already maintain about you;
  • if required to verify your identity, we may ask you to provide additional information, including Personal Information, which we will only use for the purpose of verifying your identity.
  • if you maintain an account with us, we may use that account to respond to your request and/or verify your identity.
  • if required to verify your identity, we may ask you to provide additional information, including Personal Information, which we will only use for the purpose of verifying your identity. If we are unable to verify your request, we will not be able to fulfill your request.

When We Will RespondWe will try to respond to your request within 45 calendar days of receipt. If we require additional time, we will inform you of the reason and respond within the additional 45 calendar days extension period. Any disclosures we provide will only cover the 12-month period preceding our receipt of your request. We may charge a fee to process or respond to your request if it is excessive, repetitive, or manifestly unfounded.

Who May Exercise Your Rights. If you are a California resident, only you or a person authorized by you to act on your behalf may make a request regarding your Personal Information. If you choose to use an authorized agent, your authorized agent must provide proof that they have been given your signed permission to submit that request on your behalf. In addition, you must either (a) verify your identity directly with us, or (b) directly confirm with us that you granted permission to the authorized agent to submit the request on your behalf. You are required to verify the identity of both yourself and the authorized agent. Alternatively, the agent can provide power of attorney. We may deny a request from an authorized agent if we do not have proof that they are authorized by you to act on your behalf.

Right Against Discrimination.  You have a right not to receive discriminatory treatment for exercising any of your rights.

Appeal Process.  If we are not able to take action on a submitted request, we shall inform you, without delay, of the reasons for not taking action and any rights you have to appeal our decision.

We Do Not Sell Personal Information. We have not Sold your Personal Information to a third party, and we currently do not Sell Personal Information to third parties. You have the right to opt-out of the Sale of your Personal Information by businesses subject to California privacy laws. “Sale” / “Sold” / “Sell” has the definition set forth under California privacy law.

E. CALIFORNIA’S “DO-NOT-TRACK” REQUIREMENT.

Resupply currently do not honor “do not track” requests.

Retention of Personal InformationWe retain Personal Information for as long as necessary for commercial purposes such as to fulfill the purposes outlined in this Addendum and as otherwise needed to address tax, corporate, compliance, litigation, and other legal rights and obligations.

Consequences of not providing Personal Information. You are not required to provide all Personal Information identified in this Addendum but certain functionality may not be available if you do not provide certain Personal Information. If you do not provide certain Personal Information, we may not be able to respond to your request, perform a transaction with you, or provide you with marketing that we believe you would find valuable.

Location of Stored Personal Information. We store all your Personal Information in the United States and will not transfer your Personal Information overseas.

F. RIGHT TO KNOW.

Pursuant to California Civil Code Section 1798.83, if you are a California resident, you have the right to obtain: (a) a list of all third parties to whom we may have disclosed your Personal Information within the past year for direct marketing purposes, and (b) a description of the categories of Personal Information disclosed, by emailing us at [email protected].
